Kionel Terms of Sale and Licence

These terms govern the purchase and use of Kionel software licences sold by Taha Bayar, a sole proprietorship registered in Türkiye ("Kionel", "we"), to the organisation named on the licence ("Customer", "you").

1. Business customers only

Kionel is sold to organisations for business use. By purchasing you confirm that you are acting for a business, laboratory, institution or other organisation and not as a consumer.

2. Payment and reseller

Orders are processed by Polar (polar.sh) as merchant of record. Polar handles payment, invoicing, sales tax and VAT, and its checkout terms apply to the payment itself. These terms govern the licence you receive.

3. Licence

On payment we issue a signed licence file naming your organisation, the number of sites and devices, the product lines and the licence term. We grant you a non-exclusive, non-transferable right to use the Kionel software within that scope and term. All other rights are reserved. The software is licensed, not sold.

The offline evidence verification tools listed in LICENSING-MAP.md are licensed separately under the Apache License 2.0.

4. Plans

• Lab Pilot: one site, two devices, one calendar month from payment. One

payment; it does not renew.

• Lab Subscription: one site, five devices, twelve months. It renews

automatically each year until cancelled. Each renewal issues a new licence file, which you download with the licence key shown after your first purchase.

• Larger scopes, OEM and services (installation, qualification,

integration, service levels) are sold under a separate written agreement.

5. Cancellation and refunds

You can cancel a subscription at any time from the Polar customer portal. Cancellation stops future renewals; the current licence stays valid until the end of the paid term. Fees for a term that has started are not refunded except where Polar's refund policy or mandatory law requires it. A refunded order stops licence delivery.

6. End of term

When a licence term ends, your right to use the software ends. The software keeps working for a 14-day grace period so you can renew, then switches to demonstration mode and stops creating new transfers and signatures.

Records you created while licensed remain yours. They are never locked, and they can be verified at any time with the Apache-2.0 verification tools, whether or not you renew and whether or not Kionel still exists.

7. Demonstration

The demonstration on our website works with sample data only. It grants no right to use Kionel with your own data.

8. Restrictions

You may not:

• use the software beyond the scope or term of your licence;
• copy, distribute, sublicense, rent or host the software for third parties;
• circumvent, disable or modify the licence file mechanism;
• reverse engineer the software, except where applicable law expressly permits

it despite this restriction.

9. Your data

The transfer software runs on your devices. File contents are not sent to Kionel. You are responsible for the data you transfer, for having the right to transfer it, and for your own validation obligations (for example ISO/IEC 17025, GLP, GMP or 21 CFR Part 11). Kionel does not certify your compliance; published measurements do not replace your own validation.

10. Support

Licences include email support on a reasonable-efforts basis, without a guaranteed response time. Service levels are available only under a separate written agreement.

11. Warranty

Except as expressly agreed in writing, the software is provided "as is". Optical transfer depends on lighting, cameras, screens, distance and angle; we do not promise a particular speed, success rate or device compatibility.

12. Liability

To the extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, revenue, data or goodwill. Our total liability under these terms is limited to the fees you paid for the licence in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law, including liability for gross negligence or wilful misconduct.

13. Export control

The software contains strong cryptography. You are responsible for complying with the export, import and use rules that apply to you.

14. Termination

We may terminate a licence if you materially breach these terms and do not cure the breach within 30 days of notice. Sections 6, 9, 11, 12 and 15 survive termination.

15. Governing law and disputes

These terms are governed by the laws of the Republic of Türkiye, excluding the UN Convention on Contracts for the International Sale of Goods. Disputes are finally resolved by arbitration under the rules of the Istanbul Arbitration Centre (ISTAC), by a sole arbitrator, seated in Istanbul, in the English language.

16. Changes

We may update these terms. Changes apply to purchases and renewals made after the new version is published; a renewal after publication accepts the new version.
